PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PLACING AN ORDER THROUGH OUR WEBSITE. BY PLACING AN ORDER, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
THESE TERMS REQUIRE THE USE OF BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. SEE SECTION 13 BELOW FOR DETAILS.
These Terms and Conditions ("Terms") are an agreement between you ("Buyer," "you," or "your") and Aspen Nest LLC ("Aspen Nest," "we," "us," or "our"), governing the purchase and sale of products ("Products") through www.aspennesthome.com ("Site"). By placing an order ("Order") through the Site, you confirm that you are at least 18 years of age, that you have the legal capacity to enter into this agreement, and that you accept these Terms in full.
1. Changes to These Terms
We may update these Terms from time to time. Changes take effect immediately upon posting to the Site. Your continued use of the Site or placement of an Order after any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
2. Products and Availability
All Products displayed on the Site are subject to availability. We reserve the right to discontinue any Product at any time without notice. Product images, descriptions, dimensions, and colors on the Site are provided for reference and may vary slightly from the actual Product due to photography, screen settings, and manufacturing tolerances.
3. Orders and Acceptance
Your Order constitutes an offer to purchase the Products listed in that Order under these Terms. We reserve the right to accept or decline any Order, in whole or in part, for any reason, including but not limited to Product availability, pricing errors, or suspected fraud. An Order confirmation email does not constitute acceptance of your Order. Acceptance occurs only when we ship or deliver the Products to you.
4. Pricing and Payment
a) All prices listed on the Site are in U.S. dollars and are subject to change without notice. The price charged for a Product will be the price displayed at the time your Order is placed. Prices do not include applicable sales tax, shipping, or delivery fees, which will be calculated and displayed at checkout.
b) We make every effort to ensure pricing accuracy. If we discover a pricing error after you place an Order, we will notify you and give you the option to proceed at the correct price or cancel the Order for a full refund.
c) Payment is due in full at the time of purchase. We accept the payment methods displayed at checkout. If your payment method is declined or fails for any reason, your Order may be canceled.
d) If you use a third-party financing or installment payment service offered through the Site, your use of that service is subject to the terms and conditions of the third-party provider. We are not responsible for the terms, fees, or practices of any third-party financing provider.
5. Shipping and Delivery
a) We will arrange shipment of Products to the address provided in your Order. Shipping and delivery charges, if any, will be disclosed at checkout.
b) Estimated delivery dates are approximate and are not guaranteed. We are not liable for delays in shipment or delivery caused by carriers, weather, supply chain disruptions, or other circumstances beyond our reasonable control.
c) Title to and risk of loss for all Products passes to you upon transfer of the Products to the shipping carrier. If a Product is lost or damaged in transit, you should contact the carrier directly to file a claim. We will make reasonable efforts to assist you in resolving any shipping issues.
d) You are responsible for inspecting Products promptly upon delivery. If a Product arrives damaged or defective, please contact us within seven (7) days of delivery so we can work with you on a resolution.
6. Returns and Refunds
a) Except for Products designated as final sale or non-returnable on the Site, Products may be returned within thirty (30) days of delivery, subject to the conditions below.
b) To initiate a return, you must contact us at support@aspennesthome.com to obtain a Return Merchandise Authorization ("RMA") number. No returns will be accepted without an RMA number.
c) Products must be returned in their original packaging and in like-new condition, free of stains, damage, pet hair, odors, or signs of use. We reserve the right to refuse any return that does not meet these conditions.
d) You are responsible for all return shipping costs. Risk of loss during return shipment is borne by you.
e) Approved returns will be refunded to the original payment method. Original shipping and delivery fees are non-refundable. A restocking fee may apply and will be disclosed at the time your RMA is issued.
f) Refunds will be processed within fourteen (14) business days after we receive and inspect the returned Product. Depending on your payment provider, it may take additional time for the refund to appear on your statement.
7. Product Warranty
a) Aspen Nest warrants that Products will be free from defects in materials and workmanship under normal residential use for a period specified on the applicable Product page or warranty documentation ("Warranty Period"). If no Warranty Period is specified, the default Warranty Period is one (1) year from the date of delivery.
b) This warranty does not cover damage resulting from misuse, abuse, neglect, accidents, unauthorized modifications, improper cleaning, normal wear and tear, pet damage, exposure to direct sunlight, or use in a commercial setting.
c) If a Product is found to be defective within the Warranty Period, contact us at support@aspennesthome.com with your order number, photos of the defect, and a description of the issue. At our sole discretion, we will repair, replace, or issue a credit for the defective Product or component.
d) EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, ALL PRODUCTS ARE PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, ASPEN NEST DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
a) TO THE FULLEST EXTENT PERMITTED BY LAW, ASPEN NEST, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS, YOUR ORDER, OR YOUR USE OF THE SITE OR PRODUCTS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ASPEN NEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b) TO THE FULLEST EXTENT PERMITTED BY LAW, ASPEN NEST'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, YOUR ORDER, OR YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ASPEN NEST FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Aspen Nest, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of the Products, or your violation of any applicable law.
10. Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, images, photographs, product designs, and software, is the property of Aspen Nest or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.
11. Communications
a) By providing your email address or phone number during checkout or through the Site, you consent to receive transactional communications related to your Order (e.g., order confirmations, shipping updates).
b) If you opt in to marketing communications, you may receive promotional emails or text messages. You may opt out at any time by following the unsubscribe instructions in any marketing message or by contacting us directly.
12. Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms to the extent such failure or delay is caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, labor disputes, carrier delays, supply chain disruptions, or utility failures.
13. Dispute Resolution, Arbitration, and Class-Action Waiver
a) Informal Resolution. Before initiating any formal dispute proceeding, you agree to contact us at support@aspennesthome.com and attempt to resolve the dispute informally for at least thirty (30) days.
b) Binding Arbitration. If a dispute cannot be resolved informally, you and Aspen Nest agree that any dispute, claim, or controversy arising out of or relating to these Terms, your Order, or your use of the Site ("Dispute") shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this Section.
c) Class-Action Waiver. YOU AND ASPEN NEST AGREE THAT ANY DISPUTE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR SHALL NOT CONSOLIDATE MORE THAN ONE PARTY'S CLAIMS AND SHALL NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
d) Arbitration Location and Format. Arbitration shall take place in Denver, Colorado, your county of residence, or virtually, as agreed by the Parties or determined by the arbitrator.
e) Small Claims Exception. Notwithstanding the above, either Party may bring an individual claim in small claims court if the claim falls within the court's jurisdictional limits.
f) Opt-Out. You may opt out of this arbitration agreement by sending a written notice to Aspen Nest LLC, 4885 Marshall St #106, Wheat Ridge, CO 80033, within thirty (30) days of your first Order. The notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms remain in effect.
g) Jury Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ASPEN NEST WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY COURT PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR ANY DISPUTE.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles. For any dispute not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Jefferson County, Colorado.
15. Time Limitation for Claims
To the extent permitted by applicable law, any claim arising out of or related to these Terms or your Order must be commenced within one (1) year after the events giving rise to the claim. Claims not brought within this period are permanently barred.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. If the class-action waiver in Section 13(c) is found to be unenforceable, the entirety of Section 13 shall be null and void.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Aspen Nest regarding your use of the Site and purchase of Products, and supersede all prior or contemporaneous agreements, communications, and proposals.
